2. Services Overview
Prodaxis Industries provides:
- Private labelling and OEM manufacturing services
- Custom product development (cosmetics, homecare, fragrances, etc.)
- Bulk product supply
- (If applicable) Direct sale of finished goods
All services are subject to availability and mutual agreement.
3. Orders & Acceptance
- All orders are subject to acceptance by Prodaxis Industries
- We reserve the right to refuse or cancel any order
- Order confirmation may be verbal, written, or via email
4. Pricing & Payments
- Prices are subject to change without prior notice
- Advance payment may be required for OEM/private label orders
- Orders will not be processed until payment is received (unless agreed otherwise)
- Taxes, shipping, and duties (if applicable) will be charged additionally
5. Custom & Private Label Orders
- Once formulation, packaging, or design is approved, changes may not be possible
- Custom orders are non-refundable and non-cancellable once production begins
- Clients are responsible for ensuring compliance of their brand name, artwork, and claims
6. Intellectual Property
- All formulations, processes, and proprietary methods developed by Prodaxis Industries remain our intellectual property unless otherwise agreed in writing
- Clients retain ownership of their brand name, logo, and approved packaging designs
7. Product Use & Liability
- Products must be used as directed
- Prodaxis Industries is not liable for misuse, improper storage, or unauthorized modifications
- Clients are responsible for conducting necessary testing before commercial use
8. Shipping & Delivery
- Delivery timelines are estimates and may vary
- We are not responsible for delays caused by logistics partners or unforeseen circumstances
- Risk transfers to the buyer upon dispatch
9. Returns & Refunds
- No returns or refunds on custom/private label orders
- For standard products, returns (if accepted) must be requested within same day of delivery
- Products must be unused and in original condition
10. Compliance & Regulations
- Clients are responsible for ensuring their products comply with applicable laws and regulations in their selling region
- Prodaxis Industries ensures manufacturing compliance as per applicable Indian regulations
11. Limitation of Liability
To the fullest extent permitted by law:
- Prodaxis Industries shall not be liable for indirect, incidental, or consequential damages
- Our total liability shall not exceed the value of the order
12. Confidentiality
- All business discussions, formulations, and pricing shared are confidential
- Both parties agree not to disclose sensitive information without consent
13. Termination
We reserve the right to terminate services or access if:
- Terms are violated
- Fraudulent or unethical activity is suspected
14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India, with jurisdiction in Lucknow, Uttar Pradesh.
